TERMS AND CONDITIONS

1. CLIENT

1.1. VALIDITY

Offers are valid for a period of 30 (thirty) days and thereafter on written confirmation.

All offers / quotations are linked to the ruling exchange rates on confirmation of order.

1.2. ENTRANCE BUILDING PERMITS

Entrance permits must be arranged by the client prior to commencing of project on starting date.

1.3. PARKING PERMITS

Parking permits must be arranged by the client prior to commencing of project on starting date.

1.4. EXCLUSIONS

Quotation exclude work after normal hours. The supply of specialized scaffolding and conveyors which if required, will be for the clients own account. 220/250 V/AC power for equipment to be supplied by client.

1.5. DELIVERY

Supplies and/or Installation to commence only after receipt of an official written order and proof of receipt has to be signed by Solar Gateway Africa (Pty) Ltd management or appointed representative.

1.6. CONDUIT

All conduits must be clean, accessible and supplied with draw wires.

1.7. ORDERS / VARIATION TO ORDERS

Variations from the original order will only be entertained on receipt of an official instruction on a official company document. Any additional financial costs incurred due to any variations will require an additional order number. No changes / variations will be carried out unless this procedure is adhered to.

1.8. DELAYS

Should there be any delays by the client to the installation / service team due to any circumstances, time will charged at a rate of R 450.00 per hour for the clients account. Any additional transport costs incurred will be calculated at AA rate. In the event of shipping or supplier delays,or any other delays beyond our control, Solar Gateway Africa (Pty) Ltd will not be held liable for any losses of any nature that may be incurred by the client.

1.9. CESSION OF OWNERSHIP

This proposal assumes the acceptance, for payment, of materials purchased by this company for the client prior to putting into operation.

All goods wherever practical, will be stored for safekeeping either off-site in a specially prepared contracts store, or on site in a store supplied by the client.

Once stored, a claim will be made for payment of these goods, subject to ownership being ceded to the client upon the receipt of payment. Payment of goods subject to ownership does not relieve you or your company of its obligations under the contract.

1.10. CONFIDENTIALITY OF THIS DOCUMENT

Please note that this document and all the information it contains are the intellectual property of the compamy and cannot be used for tender specifications without the written consent of the owner.


1.11. APPLICABLE LAW, VENUE AND ARBITRATION


This Agreement shall be construed and enforced under the laws of the Republic of South Africa

In case of a dispute, parties having the dispute must declare in writing to the Domicilium excitante address

An independent Arbitrator must be appointed within 14 days and a final hearing not later than 30days of appointing of arbitrator.

The disputing party to submit the names of three arbitrators for the other party to choose an arbitrator.

The arbitrator’s finding is final and the guilty party shall all costs

2. PAYMENT TERMS

2.1 DEPOSIT

70% Deposit of the quoted price, payable on receipt of order (South Africa only)

2.2 FINAL PAYMENT

30% On Delivery (South Africa only)

2.4. STATUTORY DUTIES, LEVIES ETC.

This proposal is based on the import duties, surcharges, levies, value added tax and other statutory charges as ruling two weeks prior to the date of this submission. The standard prices, reflected in this offer are subject to change, due to increase in any of the above mentioned charges. Any variation in statutory charges will be for the account of the client

2.5. ACCOMMODATION

Accommodation is for the clients account when applicable and must be paid in advanced or arranged by the client. Accommodation must be of a acceptable standard by Solargateway Africa (Pty) Ltd

3. GUARANTEE


3.1 WORKMANSHIP

The equipment will be guaranteed against faulty workmanship and/or components, for a period of twelve months from date of handover

3.2. EXCLUSIONS

acts of God and malicious damage excluded

3.3. SOLAR PANELS

All solar panels carry a factory guaranteed of twenty four months against faulty workmanship.

All solar panels are guaranteed for 20 years at 80% performance.


3.4. BATTERIES

All batteries are factory guaranteed for twelve months.

3.5. STREET LIGHTS

All street lights are factory guaranteed for twelve months.

Lamps are guaranteed for 20,000 burning hours.

3.6. BRACKETS

All brackets are factory guaranteed for twelve months

3.7.INVERTERS

All inverters are factory guaranteed for twelve months

3.8.CONTROLLERS

All controllers are factory guaranteed for twelve months

3.9.TIMERS

All timers are factory guaranteed for twelve months

3.2.OTHERS

All other equipment is factory guaranteed for twelve months

4.0. SUPPLIERS

No goods and/or orders are to be supplied or processed without an official written order issued by Solar Gateway Africa (Pty) Ltd. Contractors / Sub Contractors are required to obtain a official written order issued by Solar Gateway Africa (Pty) Ltdprior to commencement of work.

Failure to comply with this rule will result in non-payment to suppliers.
